These Terms cover the Sideband website and the application you download and run locally on your own device.

1. Agreement to terms

By accessing the Sideband website at https://getsideband.com, creating an account, or downloading and using the application, you agree to these Terms. If you are using the service on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree, do not use the service.

2. Licence to use the application

Fermium Ltd grants you a non-exclusive, non-transferable licence to download, install and run Sideband on devices you control, for your own internal business use, subject to these Terms and to an active subscription (or an applicable free plan). The software is offered with a free 30-day trial; continued use after the trial requires an active paid subscription, except where an applicable free plan is offered. Because the app runs locally on your device, you are solely responsible for your installation, your data and your compliance obligations.

You may not copy, redistribute, sublicense, rent, resell or share the application, remove or alter its notices, or circumvent its licensing or access controls. You may not decompile, disassemble or reverse engineer the application, or otherwise attempt to derive its source code, except to the limited extent that this restriction cannot be excluded under applicable law.

3. Accounts

To download Sideband and start your trial you create an account. You must provide accurate details and keep your credentials secure. You are responsible for activity under your account. We may suspend accounts that breach these Terms, threaten service stability, or are used unlawfully.

4. Acceptable use

You agree not to misuse the service: no attempting to breach security or access data that is not yours, no interfering with other users, no redistributing the application as your own, and no unlawful content. We may investigate suspected violations and take appropriate action.

5. Fees and billing

Sideband includes a free 30-day trial; no charge is made during the trial and no card is required to start it. To continue after the trial you subscribe to a paid plan, billed in advance on a recurring basis (monthly unless otherwise agreed). We offer a 14-day money-back guarantee on your first payment, alongside your statutory rights; the details and how to claim are in our Refund Policy. Payments are processed by our reseller and merchant of record, Paddle, whose buyer terms also apply; taxes are determined and collected by Paddle. We may change pricing with notice, with changes taking effect at your next billing cycle; any early-adopter pricing applied at checkout is retained for the life of that subscription. You may pause or cancel at any time, effective at the end of the current period; pausing stops billing while preserving your data and pricing until you resume.

6. Your data and ownership

You retain all rights to the data you store in Sideband, for example your components, symbols, footprints, 3D models, boards, BOMs, suppliers, manufacturers, inventory and the like. The app stores your library on your own device; we don’t host a copy of it. Some features process your Altium files on our server-side processing service. When you use one, the app sends the relevant file to us, we process it transiently to return your result, and we don’t store it or use it for anything else (see our Privacy Policy). Your design files remain your confidential property and intellectual property; we process them only as your processor, on your instructions, to deliver the feature you used, and we treat them as confidential. If you would rather your files never leave your own infrastructure, the processing service can be self-hosted: contact us for details. You may export your data at any time.

7. Warranties and liability

The software and services are provided “as is” without warranties of any kind, to the maximum extent permitted by law. Fermium Ltd is not liable for indirect, incidental or consequential damages, and our total liability is limited to the fees you paid in the twelve months preceding the claim. You are responsible for verifying footprint, symbol and lifecycle data before committing it to a manufactured board.

8. Changes, termination and contact
